التعديلات المتعلقة بإعفاءات الديون

أ- عند إجراء الاختيار من قبل الكیان المشارك المكلف بالإقرار، يجب استبعاد مبلغ الدخل الناتج عن إعفاء الدين المستحق المدرج في صافي الدخل أو الخسارة المحاسبية للكيان المشارك الذي يقع في المملكة من احتساب دخل أو خسارة الكيان المشارك إذا توافرت أي من الحالات الآتية:

1- أن يتم إعفاء الدين في إطار إجراءات الإفلاس أو الإعسار التي تباشرها محكمة أو هيئة قضائية أخرى في المملكة أو عند تعيين أمين تفليسة مستقل.

2- إذا نشأ إعفاء الدين بموجب ترتيب يكون فيه واحد أو أكثر من الدائنين شخصًا غير مرتبط بالمدين، وكان من المتوقع استنادًا على أسس معقولة أن المدين سيكون في حالة إفلاس خلال اثني عشر شهرًا لولا إعفاء الدين الخاص بالطرف الثالث بموجب هذا الترتيب.

3- مع مراعاة الفقرة (ب) من هذه المادة، وعندما لا ينطبق البندان (1) و (2) من هذه الفقرة، يُعفى الدين عندما تتجاوز التزامات المدين القيمة السوقية العادلة لأصوله التي تُحدد مباشرة قبل إعفاء الدين.

ب- في حال قيام كيان مشارك مكلف بالإقرار بالاختيار على أساس البند (3) من الفقرة (أ) من هذه المادة يُستبعد فقط المبلغ المتعلق بالديون المستحقة لدائن على أن يكون شخصاً غير مرتبط بالمدين من صافي دخل أو خسارة الكيان المشارك، وذلك إلى الحد الأقل من أي مما يلي:

1- الفائض من التزامات المدين التي تفوق القيمة السوقية العادلة لأصوله التي حُددت مباشرة قبل إعفاء الدين.

2- انخفاض المزايا الضريبية للمدين بموجب القوانين الضريبية السارية في ولايته القضائية نتيجة إعفائه من الدين.

ج- يٌقصد بالاختيار المشار إليه في نص الفقرة (أ) من هذه المادة ذلك الاختيار السنوي الجائز إجراؤه وفقاً للمادة (20) من القانون.

What does the Article mean in plain language?

Excluding debt-release income requires an annual election and a specified case: release in bankruptcy or insolvency proceedings before a court or other judicial body in the Kingdom, or where an independent trustee is appointed; an arrangement involving an independent creditor to avert insolvency reasonably expected within 12 months, or liabilities exceeding asset fair market value immediately before release. The third case applies only where cases (1) and (2) do not; in it, only unrelated-creditor debt qualifies, capped at the lesser of that excess and the resulting reduction in tax attributes. An intra-group debt waiver is not automatically excluded merely because it is described as restructuring.
