Article 13 — Transitional CbCR safe harbour

Deems tax to be zero for fiscal years beginning on or before 31 December 2026, excluding years ending after 30 June 2028, where one of three tests is met: (1) revenue below EUR 10m and profit before tax below EUR 1m; (2) a simplified ETR of at least 16% for years starting in 2025 and 17% for years starting in 2026; (3) profit before tax not exceeding the substance-based income exclusion — subject to exclusions and qualified-report conditions.

الملاذ الآمن الانتقالي لتبادل التقارير بين الدول

أ- تعتبر الضريبة بحكم المساوية للصفر للسنة المالية المعنية وذلك عن أي سنة مالية تبدأ في 31 ديسمبر 2026 أو قبلها ومن دون أن تشمل السنة المالية المنتهية بعد 30 يونيو 2028 إذا توافرت أي من الحالات الآتية:

1- فيما يخص التقرير المتبادل لكل دولة على حدة للسنة المالية لمجموعة مشاريع متعددة الجنسيات، بشرط تحقق الآتي:

أ) أن يقل إجمالي إيرادات الكيانات المشاركة التي تقع في المملكة والتي تكون عضواً في ذات مجموعة مشاريع متعددة الجنسيات عن عشرة ملايين يورو.

ب) أن يقل إجمالي الربح أو الخسارة قبل ضريبة الدخل لتلك الكيانات المشاركة عن مليون يورو.

2- أن يكون معدل الضريبة الفعلي البديل لمجموعة مشاريع متعددة الجنسيات لتلك السنة المالية، يعادل أو يزيد على (16%) للسنوات المالية التي تبدأ في سنة 2025 و(17%) للسنوات المالية التي تبدأ في سنة 2026.

3- أن يكون ربح أو خسارة مجموعة مشاريع متعددة الجنسيات قبل ضريبة الدخل في المملكة للسنة المالية، المبين في التقرير المتبادل لكل دولة على حدة، مساوياً أو أقل من مبلغ الدخل المستبعد على أساس جوهر النشاط وفقاً لأحكام المادة (10) من هذا القانون.

ب- لا تسري أحكام هذه المادة على أي من الآتي:

1- كيان مشارك غير تابع لأي ولاية قضائية.

2- مجموعات مشاريع متعددة الجنسيات المملوكة من عدة مجموعات أمّ "Multi-parented Multinational Enterprise Groups"، التي لا تدرج معلومات المجموعات المدمجة في التقرير المتبادل لكل دولة على حدة.

3- كيان مشارك دخل بعد 15 ديسمبر 2022 في ترتيب لاستغلال حالات عدم توافق المعاملة الضريبية.

ج- تسري أحكام هذه المادة على المشاريع المشتركة والشركات التابعة لمشروع مشترك وذلك بمراعاة الآتي:

1- تعتبر الإشارات الواردة في هذه المادة إلى الكيان المشارك إشارات إلى المشاريع المشتركة والشركات التابعة لمشروع مشترك حسب ما يقتضيه الحال.

2- تُستخدم القوائم المالية لتحديد توافر الشروط المنصوص عليها في الفقرة (أ) من هذه المادة وذلك بدلاً عن التقرير المتبادل لكل دولة على حدة.

د- تضع اللائحة القواعد والشروط والضوابط اللازمة لتطبيق أحكام هذه المادة بما في ذلك المتطلبات التي يجب توافرها في القوائم المالية للمشاريع المشتركة والشركات التابعة لمشروع مشترك وغير ذلك من المسائل اللازمة بما يتسق مع القواعد النموذجية والتوجيهات الإدارية والتعليقات الصادرة عن منظمة التعاون الاقتصادي والتنمية OECD.

What does the Article mean in plain language?

The safe harbour is temporary and data-dependent, and its application must be disclosed in the return (Reg. 90(k)). Expiry or an unqualified report returns the group to the full computation and does not remove it from the Law's scope.

Who should read this?

Tax, accounting, reporting and transfer-pricing teams in large groups.

Practical action

Confirm fiscal-year dates, CbCR qualification, the relevant test and exclusions before relying on it.

Is the Article enough on its own?

Usually not. The Decree-Law states the rule, the Regulations detail the computation or procedure and guidance explains application. Use all three for an obligation, amount or deadline.

Are OECD materials binding by themselves?

Not every international document is Bahrain legislation by itself. It is used within the Law's referrals or a competent adoption instrument, while current Bahrain legislation and decisions remain controlling.
