احتساب صافي الدخل أو الخسارة المحاسبية للكيان المشارك

أ- لأغراض تطبيق أحكام الفقرة (ب) من المادة (6) من القانون، يُحدّد صافي الدخل أو الخسارة المحاسبية للكيان المشارك بناءً على الحسابات المالية المعدة وفقًا لمعيار محاسبي محلي في حال توافر جميع الشروط الآتية:

1- أن يكون لدى جميع الكيانات المشاركة التي تقع في المملكة والتي تكون عضوًا في ذات مجموعة المشاريع متعددة الجنسيات، حسابات مالية معدّة وفقًا للمعيار المحاسبي المحلي.

2- أن تكون الفترة المحاسبية لجميع هذه الحسابات مطابقة للسنة المالية للقوائم المالية الموحدة لمجموعة المشاريع متعددة الجنسيات أو مجموعة المشاريع المشتركة.

3- أن تكون جميع هذه الكيانات المشاركة مُلزمة بإعداد أو استخدام هذه الحسابات المالية لأغراض تحديد التزاماتها الضريبية في المملكة أو للامتثال لأي قانون آخر في المملكة، أو أن تكون هذه الحسابات المالية خاضعة لتدقيق خارجي.

ب- لأغراض تطبيق البند (2) من الفقرة (أ) من هذه المادة، مجموعة المشاريع المشتركة تعني مشروعاً مشتركاً والشركات التابعة لذلك المشروع المشترك.

ج- في حال عدم إعداد أي من الكيانات المشاركة التي تقع في المملكة والتي تكون عضوًا في ذات مجموعة المشاريع متعددة الجنسيات حسابات مالية تستوفي جميع المتطلبات المنصوص عليها في الفقرة (أ) من هذه المادة، يجب تحديد دخل أو خسارة الكيان المشارك بموجب الفقرتين (د) أو (ه) من هذه المادة بحسب الأحوال.

د- في حال تطبيق الفقرة (ج) من هذه المادة، يكون صافي الدخل أو الخسارة المحاسبية لذلك الكيان المشارك هو صافي الدخل أو الخسارة للسنة المالية المحدد للكيان المشارك قبل إجراء أية تعديلات تتعلق بدمج القوائم المالية بهدف إزالة المعاملات بين أعضاء المجموعة والمُستخدم في إعداد القوائم المالية الموحدة للكيان الأم النهائي.

ه- في حال تعذر من الناحية العملية وبشكل معقول تحديد، صافي الدخل أو الخسارة المحاسبية لكيان مشارك يقع في المملكة وفقًا للفقرة (د) من هذه المادة، يمكن تحديد صافي الدخل أو الخسارة المحاسبية للكيان المشارك باستخدام معيار محاسبي مقبول آخر أو معيار محاسبي معتمد، بشرط توافر جميع الشروط الآتية:

1- أن تعد الحسابات المالية للكيان المشارك وفقًا لذلك المعيار المحاسبي.

2- أن تكون المعلومات الواردة في الحسابات المالية موثوقة.

3- أن تعدل الفروقات الدائمة التي تزيد على مليون يورو والناتجة عن تطبيق معيار محاسبي مقبول آخر أو معيار محاسبي معتمد، لتتوافق مع المعالجة التي يتم تطبيقها بموجب المعيار المحاسبي المستخدم في إعداد القوائم المالية الموحدة للكيان الأم النهائي.

What does the Article mean in plain language?

Start by testing whether accounts prepared under the Local Financial Accounting Standard can be used. All Bahrain Constituent Entities in the group must have accounts under that standard; their periods must match the Fiscal Year of the consolidated statements of the group or Joint Venture Group; and all those entities must be required to prepare or use the accounts for tax liabilities or another Bahrain law, or the accounts must be externally audited. Here, a Joint Venture Group includes the Joint Venture and its subsidiaries.

If any Bahrain entity's accounts fail any Paragraph A requirement, determine income or loss under Paragraph D or E, as applicable. Paragraph D starts with the entity's net income or loss used to prepare the Ultimate Parent Entity's consolidated statements, before consolidation adjustments eliminating intra-group transactions. Accordingly, do not remove intra-group revenue from the starting figure merely because it is eliminated in consolidated statements.

Paragraph E is available where determining the amount under Paragraph D is not reasonably practicable; it is not a free choice of the standard producing the lowest income. Under another Acceptable or Authorised Financial Accounting Standard, the accounts must be prepared under that standard, their information must be reliable, and permanent differences greater than EUR 1 million must be conformed to the Ultimate Parent Entity's consolidation standard. This adjustment threshold is not a general exemption from other Articles' adjustments. Once the starting point is established, assess allocation rules and subsequent adjustments separately.

How can the rule appear in practice?

A group has two Bahrain entities. One entity's accounts end on 30 June, while the consolidated Fiscal Year ends on 31 December. An audit does not cure the period mismatch: apply the Paragraph D and E sequence. If the alternative is available and a permanent difference of EUR 1.2 million arises from the different standard, conform its treatment to the parent's standard before continuing the computation.

Treating an audit alone as sufficient despite mismatched periods, using consolidated group profit after intra-group eliminations, or choosing an alternative standard without establishing impracticability.
