المسؤولية التضامنية

أ- عند تطبيق أحكام المادة (29) من القانون، يجب مراعاة جميع ما يلي:

1- عندما ينضم كيان يقع في المملكة إلى مجموعة المشاريع متعددة الجنسيات التي تستوفي اختبار مستوى الإيرادات، أو يصبح جزءًا منها بأي طريقة بموجب المادة (38) من هذه اللائحة، يُعتبر ذلك الكيان مسؤولًا بالتضامن مع الكيانات الأخرى في مجموعة المشاريع متعددة الجنسيات فيما يتعلق بالضرائب المستحقة والغرامات الإدارية للسنة المالية التي أصبح فيها عضوًا.

2- عندما يغير كيان مشارك يقع في المملكة موقعه إلى ولاية قضائية أخرى غير المملكة، أو يترك مجموعة المشاريع متعددة الجنسيات التي تستوفي اختبار مستوى الإيرادات، أو يتوقف عن أن يكون عضوًا فيها بأي طريقة أخرى بحسب المادة (38) من هذه اللائحة، يبقى ذلك الكيان المشارك مسؤولًا بالتضامن عن أي ضرائب مستحقة وأية التزامات ناشئة فيما يتعلق بالسنوات المالية التي كان فيها عضوًا في مجموعة المشاريع متعددة الجنسيات، بما في ذلك كامل السنة المالية التي توقف خلالها عن أن يكون عضوًا في مجموعة المشاريع متعددة الجنسيات أو لم يعد واقعًا خلالها في المملكة.

ب- تسري أحكام هذه المادة أيضاً على المشروع المشترك أو شركة تابعة لمشروع مشترك الذي يقع في المملكة.

What does the Article mean in plain language?

A joining entity incurs the prescribed joint liability for its joining year. A departing or relocating entity remains liable for membership years, including the entire departure or relocation year. The rule also covers Bahrain JVs and subsidiaries. A sale agreement allocating costs between buyer and seller does not by itself change NBR's statutory rights. Review contractual indemnities, earlier periods and potential adjustments before transfer.
